CeFi requires a middleman like a bank to authorize transactions. Without the intermediary, you're out of luck.

In DeFi, cutting out the middleman is key. Transactions take place peer-to-peer, without banks or other intermediaries.

How does it work? Smart contracts authorize and transfer transactions using code. No need for a third party!

All real estate tokenization offering must go through an SEC private placement.

Sometimes referred to as "Crowdfunding Regulation."

Some are for accredited investors, some are for non accredited investors.

An accredited investor fits one of these criteria:

1. Net worth of over $1M, excluding primary residence (individually or with spouse or partner).

2. Income over $200K (individually) or $300K (with spouse) in the last two years.

3. Series 7, Series 65 or Series 82.

Regulation D:

Reg D is for Accredited investors only.

A majority of tokenization platforms use Reg D.

The cost per acquisition is lower per investor and each investor has more money to spend.

Crowdfunding and real estate tokenization are basically the same thing.

With *subtle* differences - that go a loooooong way.

Holding period:

Crowdfunding and tokenization both open up real estate investing to accredited and non-accredited investors at lower-barriers to entry.

However:

Crowdfunding has traditional 5-10 year holding periods.

Real estate tokens are tradable after 1 year.

Types of deals:

Crowdfunding platforms are a more mature ecosystem.

They have better access to institutional quality deals, simply because the model has been around longer.

tokenization has not seen truly institutional quality deals - the ecosystem is just not there yet.

Access to DeFi:

Crowdfunding LPs do not get access to DeFi opportunities.

Tokenization LPs get the opportunity to leverage DeFi in various ways.

For example,

Where they can put down their tokens as collateral for a loan.
